HE Cares ("Company," "we," "us," or "our") provides a range of professional solutions, including but not limited to consulting, coaching, professional education, training, continuing education, wellness solutions, educational resources, structured programs, and related organizational and community-based services. The specific scope, deliverables, schedules, and fees for any individual engagement or program will be governed by the applicable service agreement, statement of work, or registration details.

1.2 Delivery Modalities

Services, educational courses, and programs offered by HE Cares may be delivered through various channels, depending on the specific offering or agreement, including:

• In-Person: Live workshops, seminars, corporate consulting, or community sessions hosted at designated physical locations.

• Virtually:  Live interactive sessions, webinars, consulting engagements, coaching sessions, meetings, and training delivered through video conferencing or other approved digital platforms.

• Asynchronously: Self-paced digital courses, pre-recorded modules, downloadable tools, and independent learning materials.

• Digital/Learning Platforms:  Access provided through HE Cares-operated, designated, or authorized learning management systems (LMS), websites, applications, or third-party digital platforms.

1.3 Platform Access & Material Integrity

Where services, courses, programs, digital products, or resources are provided through an HE Cares-operated, designated, or authorized digital platform or learning management system, the purchaser, client, or authorized participant is granted a limited, non-exclusive, non-transferable, and revocable right to access and use the applicable materials solely for the purposes and duration authorized by HE Cares or the applicable agreement.

Access credentials, course materials, program content, downloadable resources, assessments, videos, workbooks, frameworks, and other proprietary materials may not be shared, reproduced, redistributed, resold, sublicensed, published, uploaded to another platform, or otherwise made available to unauthorized persons or organizations without prior written authorization from HE Cares.

Organizational purchase or participation does not create an organization-wide license unless such rights are expressly granted in writing.

2.1 Educational Purpose

All courses, workshops, continuing education units (CEUs), resources, assessments, presentations, workbooks, and related educational materials provided by HE Cares are designed solely for educational, professional-development, and informational purposes. They are intended to enhance knowledge, build organizational capacity, and support personal and professional growth.

2.2 Professional Licensure & Scope of Practice

Completion of any HE Cares program, course, or training—or the earning of associated continuing education credit—does not:

• Constitute, grant, or confer professional licensure, certification, credentialing, or other professional authorization, except where a specific credential or designation is expressly identified in writing as part of an applicable program and is authorized by the appropriate issuing or approving body.

• Expand, alter, or override an individual's legal or professional scope of practice as established by applicable laws, professional licensing boards, regulatory agencies, employers, or other governing authorities.

• Replace, satisfy, waive, or supersede mandatory legal, statutory, regulatory, licensing, credentialing, or employer requirements, except where HE Cares expressly identifies a particular course or activity as satisfying a specified requirement and such recognition is authorized by the applicable governing or approving body.

Where continuing education credit is offered, participants remain responsible for verifying that the activity and awarded credit are accepted by their applicable licensing board, credentialing organization, employer, or other governing authority and meet the requirements applicable to their individual license, credential, or professional status.

2.3 Individual and Organizational Responsibility

Participants and client organizations remain solely responsible for ensuring that their professional practice, organizational activities, policies, procedures, decisions, and use or implementation of HE Cares educational materials comply with all applicable local, state, and federal laws; professional standards; employer requirements; and the rules, regulations, and standards of applicable licensing, credentialing, accrediting, or regulatory bodies.

Participants are responsible for exercising their own professional judgment and for practicing only within the scope permitted by their education, training, credentials, licensure, organizational authority, and applicable law. Information provided by HE Cares does not replace independent professional judgment or relieve any participant, employer, or organization of its legal, ethical, regulatory, or professional responsibilities.

3.1 Non-Clinical Nature of Services

HE Cares coaching, health coaching, wellness programs, and related consultative activities used to identify client needs and appropriate wellness or coaching services are non-clinical in nature. These offerings are designed solely to support personal growth, professional development, lifestyle education, preventive health education, and overall well-being. They do not constitute medical care, nursing care, psychotherapy, psychiatric treatment, mental health therapy, or the clinical diagnosis, treatment, or individualized prevention of any physical or mental disease, condition, or illness.

3.2 Absence of Clinical Relationship

Participation in any HE Cares coaching program, wellness service, educational offering, assessment, or related activity does not create or establish a physician-patient, nurse-patient, therapist-client, counselor-client, or other licensed clinical healthcare relationship between the participant and HE Cares or any of its officers, employees, instructors, coaches, facilitators, contractors, or affiliated professionals.

3.3 Distinction Regarding Licensed Leadership & Staff

HE Cares leaders, instructors, coaches, facilitators, contractors, or other team members may independently hold professional licenses, advanced degrees, certifications, or specialized credentials in fields including nursing, public health, health education, healthcare leadership, wellness, or related disciplines.

• No Individual Clinical Care:  The professional education, licensure, certification, or credentials of an HE Cares team member do not convert an educational, coaching, wellness, consulting, or support service into clinical healthcare. Unless expressly provided under a separate written agreement authorizing such services, HE Cares does not provide individualized medical, nursing, psychiatric, psychological, or other licensed clinical treatment through these offerings.

• Separation of Roles:  Enrollment in or participation in an HE Cares educational, coaching, wellness, or support program does not establish a clinical provider-patient relationship with HE Cares or with any individual officer, instructor, coach, facilitator, contractor, or team member solely because that individual holds a healthcare or other professional credential.

3.4 Medical & Emergency Advice

HE Cares services and resources are not a substitute for professional medical advice, diagnosis, or treatment. Participants should never disregard professional medical advice or delay seeking it because of information provided through an HE Cares program or resource.

Important Notice: If you are experiencing a medical emergency, mental health crisis, or require clinical treatment, you should immediately contact your physician, call 911 (or local emergency services), or seek assistance at a licensed emergency medical facility.

4.1 Scope of Organizational Consulting

HE Cares provides organizational consulting, strategic planning, workforce development, program design, education and training, policy and procedure review, and compliance and regulatory-readiness support. These services are intended to assist client organizations in enhancing operational effectiveness, staff competence, quality frameworks, organizational development, and alignment with applicable industry standards and best practices.

4.2 No Legal Counsel or Formal Regulatory Determination

HE Cares is an educational, coaching, and organizational consulting firm. Regulatory-readiness information, compliance-related education, and organizational recommendations are provided for educational and consultative purposes and do not constitute legal counsel or an official determination, interpretation, approval, or ruling by any governmental, licensing, regulatory, or accrediting authority.

• No Legal Counsel: Information, guidance, templates, policies, and recommendations provided by HE Cares do not constitute legal advice and should not be relied upon as a substitute for formal legal representation.

• Independent Legal Review: Client organizations are strongly advised to consult their own legal counsel, compliance officers, or regulatory attorneys to ensure full compliance with applicable federal, state, and local laws and statutory mandates.

4.3 No Guarantee of Specific Outcomes

While HE Cares utilizes evidence-based methodologies, professional expertise, and recognized industry standards and best practices to support client organizations, HE Cares does not warrant or guarantee any specific regulatory, accreditation, operational, financial, clinical, workforce, or organizational outcome, including but not limited to:

• Successful accreditation, reaccreditation, or certification.

• Approval, passing, or favorable findings from audits, site visits, or regulatory surveys.

• Securing state or federal funding, grants, or awards.

• Specific reimbursement levels, billing approvals, or financial performance.

• Organizational or clinical performance metrics.

Client organizations remain solely responsible for the execution, maintenance, clinical oversight, and day-to-day enforcement of their own operational practices, policies, and regulatory compliance.

4.4 Independent Status & Third-Party Trademarks

In providing consulting, education, training, or regulatory-readiness support, HE Cares may reference laws, regulations, professional standards, accreditation requirements, quality frameworks, guidance, or materials associated with governmental agencies, regulatory authorities, accrediting organizations, professional bodies, standards-setting organizations, and licensing boards, including, but not limited to, CMS, The Joint Commission, CARF, OSHA, SAMHSA, state health departments, and professional licensing boards.

• No Affiliation or Endorsement: References to third-party regulatory bodies, accrediting organizations, or federal/state agencies are for context, alignment, and educational purposes only.

• Independent Service Provider: Mention of these entities does not imply, suggest, or constitute an endorsement, sponsorship, affiliation, partnership, or official approval of HE Cares by any such organization or agency. All third-party trademarks, service marks, and trade names remain the property of their respective owners.

5.1 Maintenance of Professional Standards

Healthcare professionals, licensed practitioners, certified specialists, and all other participants utilizing HE Cares services, resources, or educational offerings remain solely and individually responsible for maintaining their professional credentials, adhering to their designated scope of practice, and practicing in full compliance with all applicable local, state, and federal laws, statutes, and regulatory codes.

5.2 Precedential Authority of Employer Policy & Licensing Bodies

Information, educational concepts, methodologies, templates, or best-practice guidelines provided by HE Cares are intended to supplement—never override—the formal standards of clinical care and governance. Under no circumstances does HE Cares education, coaching, or training:

• Supersede, alter, or take precedence over the official policies, procedures, clinical protocols, or operational directives of a participant’s employer or workplace entity.

• Replace, modify, or waive the mandatory guidelines, codes of ethics, or practice acts established by relevant state licensing boards, national credentialing bodies, or regulatory authorities.

5.3 Independent Clinical & Professional Judgment

Licensed professionals and organizational staff are expected to exercise their own independent clinical, legal, and professional judgment when applying knowledge, skills, or resources acquired through HE Cares in real-world practice or workplace settings. HE Cares assumes no liability for an individual’s or organization’s failure to adhere to their required professional standards or institutional requirements.

6.1 Non-Emergency Service Notice

HE Cares coaching programs, educational courses, websites, digital resources, support groups, communication channels, and learning management platforms are not emergency, urgent care, or crisis-response services. HE Cares does not monitor platforms or communications for medical, mental health, or safety emergencies, nor do we provide real-time crisis intervention or suicide prevention services.

6.2 User Protocol in Emergencies

If you or someone you know is experiencing a medical emergency, mental health crisis, thoughts of self-harm, severe distress, or any situation involving personal safety, you must not rely on HE Cares digital channels, staff, or resources for immediate assistance.

In an emergency or crisis, immediately seek appropriate assistance through one or more of the following, as circumstances require:

Individuals requiring immediate assistance are solely responsible for contacting appropriate emergency, medical, mental health, crisis-response, or public-safety services.

7.1 Individual & Organizational Variation

HE Cares strives to deliver high-quality, evidence-informed, and trauma-informed educational, coaching, and consulting solutions. However, individual, professional, and organizational results will vary significantly based on a wide range of factors, including but not limited to prior training, individual effort, workplace environment, operational implementation, leadership engagement, resource allocation, and external market or regulatory conditions.

7.2 No Express or Implied Guarantees

No course, workshop, coaching program, consultation, assessment, policy resource, or wellness offering provided by HE Cares guarantees any specific, predictable, or particular outcome. Without limiting the generality of the foregoing, HE Cares makes no guarantees regarding:

• Health & Wellness Outcomes: Specific physical, mental, emotional, or health-related improvements.

• Professional & Educational Outcomes: Career advancement, job placement, promotion, skill mastery, or passage of third-party certification examinations.

• Organizational & Financial Outcomes: Increased revenue, cost savings, operational efficiency, staff retention, or business growth.

• Compliance & Accreditation Outcomes: Receipt of accreditation, regulatory approval, successful audit/survey results, or third-party reimbursement approvals.

Any testimonials, case studies, success stories, or examples presented on HE Cares websites, marketing materials, or platform resources are intended solely to illustrate potential experiences or possibilities. They do not constitute a representation, warranty, or guarantee that current or future clients, participants, or organizations will achieve the same or similar results.

8.1 Ownership of Proprietary Materials

Unless explicitly stated otherwise in writing, and excluding third-party materials used under license, permission, or other lawful authorization, HE Cares owns, controls, or holds the applicable rights to original content, educational resources, and intellectual property created or developed by or for the Company. This includes, but is not limited to:

• Course curricula, modules, workbooks, PDFs, handouts, guides, and downloadable resources.

• Proprietary operational templates, policy frameworks, tools, and assessments.

• Video recordings, audio content, presentations, slide decks, and visual graphics.

• Trademarks, service marks, logos, brand names, program names, and slogans associated with HE Cares.

Such materials may be protected by applicable copyright, trademark, and other intellectual property laws of the United States and, where applicable, other jurisdictions.

8.2 Scope of Permitted Use

Purchasing, registering for, or enrolling in an HE Cares course, coaching program, consulting engagement, or digital subscription grants the user or client organization a limited, non-exclusive, non-transferable, and revocable license to access and view the materials solely for the intended personal use of the authorized user or, where expressly authorized by the applicable purchase, agreement, or organizational license, internal organizational educational use. Accessing or purchasing HE Cares products or services does not transfer ownership or any underlying intellectual property rights to the user or organization.

8.3 Prohibited Uses & Unauthorized Distribution

Except as expressly authorized in writing by HE Cares or permitted under a formal corporate licensing agreement, users and client organizations may not:

• Reproduce, duplicate, copy, record, or modify any HE Cares materials or content.

• Redistribute, republish, resell, license, or commercially exploit any course materials, templates, or resources.

• Upload, share, or transmit HE Cares materials to public websites, shared corporate drives, digital repositories, or unauthorized third-party platforms.

• Share account login credentials, platform access links, or proprietary program files with non-registered individuals or unauthorized third parties.

• Create, adapt, translate, modify, or prepare derivative works based upon HE Cares proprietary curricula, frameworks, assessments, training modules, methodologies, or other protected materials without prior written authorization.

• Use HE Cares proprietary materials, content, curricula, assessments, frameworks, or resources to train, fine-tune, develop, populate, or substantially reproduce content through artificial intelligence systems, machine-learning models, datasets, automated content-generation systems, or similar technologies without prior written authorization from HE Cares.

9.1 Access Terms & Product Scope

Access to HE Cares digital products, online courses, learning management systems, toolkits, and electronic resources is granted subject to the specific terms, duration, and conditions associated with the purchased product or program. Access rights are strictly limited to the enrolled individual or authorized client entity designated at the time of purchase or registration.

9.2 Account Security & Credential Protection

Users are responsible for maintaining the confidentiality and security of their platform login credentials, account usernames, and passwords.

• No Sharing: Account credentials and personalized access links are non-transferable and must not be shared with, transferred to, or used by non-registered individuals, co-workers, or unauthorized third parties.

• Notification: Users must immediately notify HE Cares of any unauthorized use or suspected breach of security regarding their digital account.

9.3 Downloadable Resources & Usage Rights

In the event of unauthorized access or misuse, HE Cares reserves the immediate right to suspend or permanently terminate user access to digital platforms, courses, and resources without prior notice or refund, to the extent permitted by applicable law and the terms applicable to the affected product or service, while preserving any other rights or remedies available to HE Cares.

10.1 Payment Terms & Authorization

All fees for HE Cares courses, coaching programs, consulting services, digital resources, subscriptions, and events must be paid in full at the time of purchase, enrollment, or according to the payment schedule specified in an applicable formal service agreement, invoice, or Statement of Work (SOW). By submitting a payment method, you authorize HE Cares (and its third-party payment processors) to charge the designated amount for the selected services or products. Where an offering includes recurring or subscription billing, the applicable billing frequency, renewal terms, and cancellation conditions will be disclosed at or before purchase.

10.2 Product-Specific Terms Precedence

Because HE Cares offers a diverse range of digital resources, downloadable materials, live services, asynchronous offerings, and customized services, specific payment terms, refund eligibility, and cancellation timelines may vary by offering.

• Offer-Specific Terms: If specific refund, cancellation, or payment terms are set forth on a product sales page, checkout page, course registration portal, or written service contract, those specific terms shall govern and take precedence over the general baseline policies outlined below.

• Standard Baseline: Where no product-specific or contract-specific refund policy is stated, the standard baseline policies set forth in Sections 10.3 and 10.4 apply.

10.3 General Refund Policy

• Digital Products & Downloadable Resources: Unless explicitly stated otherwise on the checkout page, all sales of instantly accessible digital downloads, standalone workbooks, pre-recorded asynchronous modules, and downloadable policy templates are final and non-refundable once access has been granted or the files have been downloaded, except where otherwise required by applicable law or expressly stated at checkout.

• Live Courses, Workshops & Coaching:  Cancellations requested in writing before the published start date or first session may, at HE Cares' discretion, be eligible for a partial refund, rescheduling, or credit toward a future offering, less any disclosed non-refundable administrative or registration fees. Unless otherwise stated in the applicable offering terms, refunds are not available after the course, workshop, or coaching program has commenced.

• Consulting & Custom Organizational Engagements: Retainers, deposit payments, and completed milestone charges for customized organizational consulting, policy review, or corporate training are non-refundable once work has commenced, except as expressly provided in the applicable client agreement or SOW.

10.4 Service Cancellations & Rescheduling

• Client-Initiated Cancellations: Clients or participants wishing to cancel or reschedule a live session, coaching call, or custom training must provide written notice according to the timeframe specified in their program agreement. Late cancellations or missed sessions ("no-shows") may result in forfeiture of the session fee or require a rescheduling fee.

• Company-Initiated Changes:  If HE Cares cancels an offering and does not provide a reasonable replacement or rescheduled option, affected participants will be offered an applicable refund or credit consistent with the terms of the offering. If an offering is postponed or rescheduled, HE Cares will provide participants with updated scheduling information and, where appropriate, reasonable transfer, credit, or refund options.

10.5 Chargebacks & Failed Payments

In the event of a failed or overdue payment, or a chargeback involving services or digital access for which payment has been reversed or withheld, HE Cares may suspend affected services, platform access, coaching sessions, consulting work, or delivery of outstanding materials while the payment matter is being resolved.

Users remain responsible for valid outstanding balances and for fees expressly authorized under the applicable agreement or permitted by law. Fraudulent, abusive, or improper chargebacks involving products or services legitimately purchased, accessed, delivered, or rendered may result in suspension or termination of services and pursuit of available remedies.

Nothing in these Terms is intended to restrict any lawful right a consumer may have to dispute an unauthorized or erroneous transaction. Any applicable fees or collection costs are expressly provided under the applicable agreement and permitted by law.

11.1 General Privacy Commitment

HE Cares is committed to respecting user privacy and protecting personal information collected through our websites, learning management systems, registration forms, digital resources, and affiliated service platforms. Information submitted by users or client organizations is collected, used, stored, and processed in accordance with applicable privacy and data-protection laws and the HE Cares Privacy Policy.

11.3 Platform & Portal-Specific Privacy Rules

Certain HE Cares digital environments—including specialized learning management systems, interactive student forums, coaching portals, or client portal areas—may present additional or distinct privacy notices, data security protocols, or end-user confidentiality guidelines governing those specific platforms.

• Applicability: In such cases, users must comply with both this general statement and any platform-specific privacy disclosures or usage policies presented within those dedicated environments.

• Confidentiality in Group Environments: Participants in interactive courses, group coaching, or discussion forums are required to respect the privacy and confidentiality of fellow participants. Recording, capturing, or sharing disclosures made by other participants within private platform areas is strictly prohibited. While HE Cares requires participants to respect the confidentiality of others, HE Cares cannot guarantee that another participant will maintain the confidentiality of information voluntarily disclosed in a group or interactive environment. Participants should use appropriate discretion when sharing personal or sensitive information.

B. Confidentiality in Group Environments

While HE Cares takes reasonable steps to foster a secure digital learning environment, information shared voluntarily within group coaching sessions, live webinars, or group coaching sessions, live webinars, course forums, discussion boards, or other interactive environments. HE Cares requires all participants to respect fellow group members' privacy, but we cannot control how other participants use information shared in public or group settings.

5. Non-Clinical Information & Sensitive Health Data

HE Cares provides educational, coaching, wellness, and organizational consulting services that are non-clinical in nature and are not intended to establish a healthcare provider-patient relationship.

• No Protected Health Information (PHI) under HIPAA: HE Cares is not a healthcare provider or covered entity for the purpose of its educational and coaching services, and interactions do not create a clinical patient relationship.

• Do Not Submit Sensitive Clinical Records: Participants and client organizations should not submit private medical records, patient health information, or confidential protected clinical data through HE Cares general web forms, LMS portals, or non-clinical communication platforms.

• Do Not Submit Clinical Records: Unless expressly requested through a specifically authorized and appropriately secured process, users, participants, and client organizations should not submit medical records, patient records, protected health information, or other confidential clinical information through HE Cares general website forms, learning platforms, email accounts, coaching portals, discussion forums, or other non-clinical communication channels.

Users participating in wellness, coaching, or educational activities should exercise discretion when voluntarily providing personal health-related information.
